Please read these Terms and Conditions (“Terms” or “Terms and Conditions”) carefully before using the https://boardroomwomen.wpengine.com/ website (“Service”) operated by Women in the Boardroom™ (“WIB®”,”us”, “we”, or “our”).
Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, and others, who either access or use the Service.
By accessing or using the Service, you agree to be bound by these Terms. These terms shall not be altered or omitted should you disagree with any provisions. If you do not accept the entirety of these terms, then you may not access or use the Service.
Subscriptions
The Service is billed on a subscription basis (“Subscription(s)” or “Annual Subscription(s)”). The term of a Subscription is one year. You will be billed in advance on a recurring annual basis.
Automatic Renewal Terms
Women in the Boardroom® Subscriptions are subject to automatic renewal. If you become a Subscriber, you agree that Women in the Boardroom™ may submit annual charges to your chosen payment method without further authorization from you. These charges will be submitted annually unless you, the Subscriber, provides us notice that you wish to terminate this authorization or to change your payment method prior to the automatic renewal date. With respect of Women in the Boardroom™ subscriptions subject to automatic renewal, you agree that Women in the Boardroom™ may submit annual charges to your chosen payment method without further authorization from you, until you provide written, prior notice that you wish to terminate this authorization or to change your payment method. You agree that such notice will not affect charges submitted before Women in the Boardroom™ reasonably could act.
Annual Subscriptions
By purchasing an Annual Subscription, you agree and acknowledge that your Subscription has an initial pre-payment feature for one full year of Service and a recurring Annual Subscription renewal fee at the then-current Annual Subscription rate. You acknowledge and accept responsibility for all recurring charges prior to cancellation, including, where applicable, any charges processed by Women in the Boardroom® after the expiration date of your payment card or any charges that fail to be deposited to Women in the Boardroom™ due to insufficient funds. The Subscriber understands that they will be notified of all subscription fee increases via email at the time of the increase, and accepts and authorizes Women in the Boardroom™ to charge the increased amount on the automatic renewal date, unless the Subscriber cancels their Subscription before the renewal date.
Automatic Annual Renewal Terms
At the end of each Annual Subscription, your Subscription will be automatically extended for another one (1) year term and your payment method will automatically be charged the Annual Subscription renewal fee at the then-current Annual Subscription rate, until and unless you cancel your Annual Subscription renewal.
Cancellation Policy for Annual Subscription Renewals
An Annual Subscription may only be canceled by providing five (5) business days written notice prior to the date of the renewal of the Annual Subscription. To cancel your Annual Subscription renewal for the following year, at any time after you were billed for the then-current year, you may send written notice membership@womenintheboardroom.com.
Recording Release Agreement
I hereby authorize Women in the Boardroom (“WIB”) the irrevocable and unrestricted right to publish and to authorize other parties, including its assigns, successors in interest, employees, service providers, volunteers, agents, licensees and those acting with its permission or authority, to publish my name and my picture, appearance, likeness, performance and/or voice taken, created or recorded in photographs, videos, audio or other content by or on behalf of Women in the Boardroom (the “Materials”) in connection with my participation in events hosted or otherwise conducted by Women in the Boardroom (the “Events”), and I hereby grant Women in the Boardroom an irrevocable, royaltyfree, fully paidup, perpetual, worldwide right and license to perform, publish, distribute, display and otherwise use the Materials in printed publications, videos, on Internet web sites and in any other media now known or hereafter developed. I acknowledge that my participation in the Events and my execution of this release is voluntary and that I will receive no financial compensation for executing this release or participating in the Events. I further acknowledge and agree that my participation in the Events and my execution of this release confers no rights of ownership in the Materials whatsoever to me, and I waive any right to royalties or other compensation arising or related to the use of the Materials. I acknowledge and agree that Women in the Boardroom owns all right, title, and interest in and to the Materials, including the right to alter and create derivative works of the Materials without restriction and to register for copyright in the same in its name. I hereby waive any right to inspect or approve any finished product(s) incorporating all or any portion of any Materials. I release Women in the Boardroom and its affiliates from liability for any claims by me in connection with my participation in the Events and/or the publication or dissemination of the Materials.

Our Service may contain links to third-party web sites or services that are not owned or controlled by Women in the Boardroom®.
Women in the Boardroom® has no control over, and assumes no responsibility for, the content, privacy policies, terms and conditions, or practices of any third party web sites or services. You further acknowledge and agree that Women in the Boardroom™ shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods or services available on or through any such web sites or services, despite whether the web site or service was accessed via a link found on our Service.
No Warranty
UNLESS OTHERWISE AGREED TO IN WRITING BY WIB®, WIB MAKES NO WARRANTY WHATSOEVER WITH RESPECT TO THE GOODS, INCLUDING ANY (A) EXPRESS WARRANTY, (B) IMPLIED WARRANTY OF MERCHANTABILITY OR OF FITNESS FOR A PARTICULAR PURPOSE, INCLUDING IMPLIED BY LAW, COURSE OF DEALING, COURSE OF PERFORMANCE, USAGE OF TRADE OR OTHERWISE. THE SALE OF GOODS IS ON A “AS IS/WHEREAS” BASIS.
Limitation of Liability
IN NO EVENT SHALL WIB BE LIABLE FOR ANY CONSEQUENTIAL, INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, LOST PROFITS OR REVENUES OR DIMINUTION IN VALUE, ARISING OUT OF OR RELATING TO ANY BREACH OF THESE TERMS, WHETHER OR NOT THE POSSIBILITY OF SUCH DAMAGES HAS BEEN DISCLOSED IN ADVANCE BY USER OR COULD HAVE BEEN REASONABLY FORESEEN BY USER, REGARDLESS OF THE LEGAL OR EQUITABLE THEORY (CONTRACT, TORT OR OTHERWISE) UPON WHICH THE CLAIM IS BASED, AND NOTWITHSTANDING THE FAILURE OF ANY AGREED OR OTHER REMEDY OF ITS ESSENTIAL PURPOSE. IN NO EVENT SHALL WITB’S AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT, WHETHER ARISING OUT OF OR RELATED TO BREACH OF CONTRACT, TORT (INCLUDING NEGLIGENCE) OR OTHERWISE, EXCEED THE TOTAL OF THE AMOUNTS PAID TO WITB FOR THE AFFECTED GOODS SOLD BY WITB TO USER.
Waiver
No waiver by WIB® of any of the provisions of this Agreement is effective unless explicitly set forth in writing and signed by WIB®. No failure to exercise, or delay in exercising, any rights, remedy, power or privilege arising from this Agreement operates or may be construed as a waiver thereof. No single or partial exercise of any right, remedy, power or privilege hereunder precludes any other or further exercise thereof or the exercise of any other right, remedy, power or privilege.
Force Majeure
The WIB™ shall not be liable or responsible to User, nor be deemed to have defaulted or breached this Agreement, for any failure or delay in fulfilling or performing any term of this Agreement when and to the extent such failure or delay is caused by an event or circumstance that is beyond the reasonable control of WIB®, without WIB®’s fault or negligence, and which by its nature could not have been foreseen by WIB® including but not limited to, acts of God or the public enemy, government restrictions, floods, fire, earthquakes, war, terrorist acts, civil unrest, national emergency, labor disputes (whether or not relating to either party’s workforce), or restraints or delays affecting carriers or telecommunication breakdown or power outage.
Assignment
WIB shall have the right to assign any of its rights or delegate any of its obligations under this Agreement without the prior written consent of User.
Governing Law & Jurisdiction
All matters arising out of or relating to this Agreement is governed by and construed in accordance with the internal laws of the State of Minnesota without giving effect to any choice or conflict of law provision or rule. Any legal suit, action or proceeding arising out of or relating to this Agreement shall be instituted in the federal courts of the United States of America or the courts of the State of Minnesota, and each party irrevocably submits to the jurisdiction of such courts.
Changes
We reserve the right, at our sole discretion, to modify or replace these Terms at any time.
