Howard Brod Brownstein
President of Brownstein Corporation
Howard Brod Brownstein, CTP, is a nationally-known turnaround and restructuring professional, and regularly provides programs for Women in the Boardroom. He is President of Brownstein Corporation, which provides turnaround management and advisory services, as well as investment banking, fiduciary services, litigation consulting, investigations and valuation services. He regularly serves on the boards of directors of public and private companies, and currently serves on the boards of: P&F Industries (Nasdaq: PFIN) where he chairs the Nominating/Governance and Strategic Planning & Risk Assessment Committees, Renew Financial, where he serves as chair of the Risk Committee, and Merakey, a nonprofit with over 10,000 employees. He is a Certified Turnaround Professional, and also an NACD Board Leadership Fellow and Immediate Past President and Board Chair of the NACD Philadelphia Chapter. He has authored ninety articles and textbook chapters, is a Contributing Editor at two publications, and is a regular guest-lecturer at Harvard Business School, Wharton, NYU and elsewhere. He received JD and MBA degrees at Harvard, and B.S. (Wharton) and B.A. degrees from the University of Pennsylvania.
Jayne E. Juvan
Chair of M&A and Securities & Capital Markets Practice at Tucker Ellis LLP
Jayne Juvan serves as chair of the Mergers & Acquisitions and Securities & Capital Markets practice groups at the law firm of Tucker Ellis in Cleveland, OH. She also serves as Vice Chair of the ABA Corporate Governance Committee, and she is the co-editor of the firm’s blog on corporate law, Lingua Negoti (“the language of business”). Jayne’s advises investors, boards of directors and management teams on corporate transactions, regulatory compliance and fiduciary duties, and counsels public and high-growth private companies, private equity funds, and venture capital funds from initial formation through all stages of the business life cycle. Jayne frequently can be found in the boardroom with directors as they make highly impactful, potentially transformative, and confidential decisions. She is often tapped to assist corporate boards to maximize effectiveness and institute best practices. As co-chair of the ABA’s Task Force on Director Misconduct, she is also regularly called upon to advise corporate boards during their most challenging situations. Jayne Juvan received a JD degree from Capital University Law School where she was Editor-in-Chief of its law review, and a BA degree from Kent State University.
Ellen C. Grady

Ellen Grady is a Senior Counsel at the Pillsbury Winthrop law firm in McLean, VA. She has extensive corporate transactional experience advising companies in M&A transactions, private equity and venture capital financings, securities law compliance and public and private offerings, and corporate governance. She regularly represents emerging companies on a wide variety of legal matters from formation through exit, particularly equity financings. Ellen works with clients across a wide range of industry sectors, including defense and government services, health care and healthcare IT, and software and technology. Recently, she has worked with clients in structuring joint ventures to invest in real estate projects located in “qualified opportunity zones,” including advising on compliance with federal securities law issues, and is active on the Corporate Governance Committee of the American Bar Association’s Business Law Section.
