Howard Brod Brownstein

Howard Brod Brownstein, CTP, is a nationally-known turnaround and restructuring professional, and regularly provides programs for Women in the Boardroom. He is President of Brownstein Corporation, which provides turnaround management and advisory services, as well as investment banking, fiduciary services, litigation consulting, investigations and valuation services. He regularly serves on the boards of directors of public and private companies, and currently serves on the boards of: P&F Industries (Nasdaq: PFIN) where he chairs the Nominating/Governance and Strategic Planning & Risk Assessment Committees, Renew Financial, where he serves as chair of the Risk Committee, and Merakey, a nonprofit with over 10,000 employees. He is a Certified Turnaround Professional, and also an NACD Board Leadership Fellow and Immediate Past President and Board Chair of the NACD Philadelphia Chapter. He has authored ninety articles and textbook chapters, is a Contributing Editor at two publications, and is a regular guest-lecturer at Harvard Business School, Wharton, NYU and elsewhere. He received JD and MBA degrees at Harvard, and B.S. (Wharton) and B.A. degrees from the University of Pennsylvania.

Steven Khadavi

Managing Partner of Troutman Pepper

Steven is the managing partner of the New York offices of Troutman Pepper. He has more than two decades of experience in corporate finance and securities law, as well as mergers and acquisitions. He counsels public and private companies on complex securities matters. He regularly advises boards of directors and special committees on issues of corporate governance and fiduciary duties. He has substantial experience advising underwriters and issuers in a wide range of debt and equity financing transactions, including SEC-registered offerings, private placements, debt tender offers, consent solicitations and exchange offers. He also counsels investment banks serving as financial advisors to deliver fairness and solvency opinions. Steven represents clients in the United States and abroad in various sectors, including telecommunications, health care and consumer products. He also advises Israeli clients operating in the U.S. and companies and investors doing business in Israel.

Charisse Lillie

Chief Executive Officer, CRL Consulting, LLC

Charisse Ranielle Lillie is a businesswoman, attorney, lecturer and consultant to law firms, corporations and non-profits on issues of diversity, equity and inclusion, corporate social responsibility and corporate governance. She has served as the CEO of CRLCONSULTING LLC since retiring from Comcast Corporation in January of 2017. She joined Comcast after thirteen years (1992-2005) at Ballard Spahr, LLP, where she was a partner in the Litigation Department and served as Chair of The Litigation Department from 2002 to 2005. During her years at Comcast, she served in several roles, including Senior Vice President of Human Resources of Comcast Cable and Vice President of Human Resources of Comcast Corporation, and President of the Comcast Foundation and Vice President of Community Investment of Comcast Corporation. She was also actively involved in the diversity initiatives at Comcast.
Ms. Lillie has extensive legal experience as a Trial Attorney in the U.S. Department of Justice, Civil Rights
Division and as an Assistant U.S. Attorney in the E.D. PA. She is a former City Solicitor (City Attorney) of the City of Philadelphia and has served on many civic commissions. She is a member of the Executive Leadership Council, The Pennsylvania Women’s Forum, The Forum of Executive Women, and Delta Sigma Theta Sorority, Inc. She is a Fellow of the College of Labor and Employment Lawyers, and a member of The American Law Institute.
Ms. Lillie is a member of the Board of Directors of the Penn Mutual Life Insurance Company, PECO, an Exelon Company, and Independence Health Group, Inc., parent company of Independence Blue Cross and AmeriHealth Caritas. She also serves on the Regional Advisory Board of PNC Bank, PA/SNJ/DE, and the corporate Advisory Board of KnectIQ, Inc. She also serves on the board of The Franklin Institute Science Museum, the Advisory Board of the Drexel University Thomas R. Kline School of Law, and the Philadelphia Chapter of NACD. She is a former Board Member and Board Chairman of
the Federal Reserve Bank of Philadelphia and a former board member of The United Way of Greater Philadelphia and Southern New Jersey. She currently serves on the President’s Advisory Committee of the Federal Reserve Bank of Philadelphia. She served on the Howard University Board of Trustees from 2004 to 2016.
The Houston, Texas native received her B.A., cum laude, from Wesleyan University. She holds a J.D. from the Temple Beasley School of Law and an LL.M. from Yale Law School.

Jan Berger

CEO, Health Intelligence Partners

Jan is a tri-sector healthcare executive that has proven results as a senior executive in the three sectors of private, public and government services over the last 30 years. In 2009 Jan founded Health Intelligence Partners as a health care consultancy. Health Intelligence Partners has a global focus (engagements in 14 countries with both Health Organizations and National Ministries of Health), working with clients on areas of growth including short-term and long-term business strategies and solutions. Health Intelligence Partners helps clients to navigate intersection of strategy and operations within both the healthcare and consumer goods and services environment in order to identify and articulate value opportunities.
Prior to founding Health Intelligence Partners, Jan served as Senior Vice President, Chief Clinical Officer and Innovation Officer for CVS Health/Caremark. During that time, she was a corporate officer and on the executive team with P & L (500 million-dollar business unit), operations and strategic experience. Jan also lead Caremark’s Medicare Part D development and was the clinical lead for CVS Caremark’s M & A activity. During this time, Jan developed an expertise in both healthcare and retail consumer behavior. Before going to CVS Caremark, Jan had 15 years’ experience in healthcare administration within the health plan and academic arenas and lead operations for two population health companies.
As a veteran healthcare executive, Jan’s leadership has delivered results in a variety of settings. Jan offers her experiences and insights through her consulting agency as well as through her participation on healthcare, veterinary and consumer product boards. She presently sits on healthcare focused boards including, Cambia Health Solutions (Audit & Compliance Committee, Health Services Committee), Tabula Rasa (Nominations, Compensation, Governance), UCB Pharmaceuticals. Jan previous board experience includes: GNS Healthcare (Lead Independent Board Member, Vice Chair of the Board, Chair; Governance/Compensation/Nomination Committee, Member of the Audit Committee), Voluntis (Chair, M&A/Strategy Committee, Nomination and Renumeration Committee), Care Core National (Committees: Audit and Finance Committee, Compensation, Search, M&A and Strategic Directions), AccentCare (Chair; Compliance Committee, Compensation Committee), Chip Rewards, Qliance, C3, University of Arizona School of Pharmacy, Blue Cross and Blue Shield Western Conference Board of Directors and Rx-Ante. Jan’s consumer-focused boards have included Savor Health, Care Heroes, and Whiskerdocs, a veterinary telehealth service company. She also sits on numerous business and healthcare advisory boards.
Jan has recently released, Re-Engaging in Trust: The Missing Ingredient in Fixing Healthcare. As the author of four other books and editorial board activity on several healthcare journals., Jan is considered a national health care thought leader.

Jan holds a Doctor of Medicine degree, a master’s in jurisprudence from Loyola University in Chicago, and a Certificate in Healthcare Business Administration from the University of South Florida.
