The governance of financial institutions presents challenges that are somewhat unique to the industry: They are heavily regulated at the national, and potentially international, levels, and exposed to high levels of reputational risk due to the nature of their business. And given the large movements of capital that are typical in the industry, there are security risks that are typically not found in other industries. Board members need to be educated and attentive regarding these challenges – our panel of experts will provide insight into what’s involved in providing strong corporate governance in financial institutions.

Howard Brod Brownstein

President of Brownstein Corporation

Howard  Brownstein is President of The Brownstein Corporation, a nationally-active turnaround management and restructuring firm, which these days is mostly selling and refinancing healthy companies.  He has served as an independent corporate board member for over 40 years.  He is an NACD Board Leadership Fellow and Immediate Past President of the NACD Philadelphia Chapter, and Vice-Chair of the ABA Corporate Governance Committee.  Board roles have included:  Renew Financial (Chair, Risk and Operating Committees); 

Howard  Brownstein is President of The Brownstein Corporation, a nationally-active turnaround P&F Industries (Nasdaq: PFIN, Chair, Strategic Planning/Risk Assessment & Nom/Gov Committees; Merakey; A.M. Castle & Co. (OTCMKTS: CASL); PICO Holdings (Nasdaq: PICO), and several others.  

Howard is a Certified Turnaround Professional, and received the Outstanding Individual Contribution Award from the Turnaround Management association.  He has authored over 90 articles and textbook chapters, and received JD and MBA degrees from Harvard University, and B.S. (Wharton) and B.A. degrees from Penn.

Maryann Bruce

Director, Amalgamated Bank

Maryann Bruce is an experienced independent director and former Fortune 100 Division President & CEO with expertise in strategy, sales and marketing, product development and management, and regulatory compliance. The breadth and depth of her experience come from having served in executive and board leadership positions for start-ups and firms of various sizes as well as organizational structures. She has more than 35 years of success as a dynamic leader with full P&L responsibility in the financial services industry

She built her career around starting and growing businesses and implementing turnarounds and transformations. Maryann has deep corporate governance experience having served on a wide range of boards including public, private, mutual funds, advisory, and nonprofits enhancing her ability to identify key issues and ask thought-provoking questions. 

She is currently a corporate director of Amalgamated Bank (Nasdaq: AMAL) serving on its Audit and Enterprise Risk Oversight Committees, an advisory board member of RealBlocks, and the Chair of the Board of Wrestle Like A Girl. Previously she was an independent director of MBIA (NYSE: MBI) and Atlanta Life Financial Group, a mutual fund trustee of Allianz Global Investors and PNC funds, as well as a board member of NACD’s Carolinas’ Chapter and the C200 Foundation. In acknowledgment of her leadership and expertise, Maryann was honored by Directors & Boards as one of 20 accomplished female board members in Directors to Watch and US Banker named her one of “The 25 Most Powerful Women in Banking” for her business vision, personal excellence, and professional integrity. Maryann recently earned the CERT Certificate in Cybersecurity Oversight. 

Marcy Sharon Cohen

Managing Director and Chief Legal Officer, ING Americas

Marcy Sharon Cohen is Managing Director and Chief Legal Officer of ING Americas, with offices in the U.S., Mexico, Brazil, Argentina and Colombia. She serves on its Executive Management Team in the capacity of Chief Legal Officer and Head of Regulatory Affairs.  Her responsibilities include managing the legal function, providing leadership, guidance and support to ING globally in major strategic initiatives, corporate governance, regulatory affairs, transactional matters and litigation as well as serving as a member of the Americas Management Team, Risk and Compliance Committees, and ING’s Global Legal Management Team.  She is a founding member of the ING NY Lioness Group,  responsible for career development initiatives for women at ING.

Before joining ING in 2005, Marcy held similar senior positions at the U.S. operations of other major global financial institutions, including BNP Paribas, WestLB, Republic New York Corporation and the National Bank of Greece. She is the recipient of the American Legal Media 2017 Transformative General Counsel Award for Collaborative Leadership, and has been named as an Outstanding Woman in the Legal Profession by the New York Country Lawyers Association. Marcy currently is on the Boards of Directors of KEB Hana Bank USA N.A., serving as Chair of the Compliance Committee and Governance and Nominating Committee, and serving as a member of the Audit and Asset and Liability Committees, the Museum of American Finance serving on the strategic planning committee, and the Cue Art Foundation. She is admitted to practice before the Supreme Court of the United States and is a member of the New York State Bar. 

Marcy is a 2014 Alumna of the Direct Women Institute, which identifies women ready to serve as non-executive directors of public company boards, and serves as co-Chair of their Northeast Regional Alumnae Committee.
