Mary A. Madden

Chair & Executive Director, Atlanta Chapter of the National Association of Corporate Directors

 

Mary has taken a company public, served on boards of private, public companies, and non profits. She has served on the audit, governance, and nominating committees. She has been active since 2001 in the Atlanta Chapter of NACD, as Chair, Director, Officer, Program development. The organization hosts monthly luncheons on topics from Executive Compensation, Risk Management, Committee Responsibilities, Proxy season, fraud, and other issues of importance to directors. Mary has also been involved in the Directors’ College, Terry College, University of Georgia, for the last nine years, as a speaker, resource and advisor. In 2004 Mary Co-founded the Atlanta Chapter of Women Corporate Directors with 30 members who are on public boards with one or two on private boards.

From 1981-1994, Mary was President, Founder and Co-CEO of Information America, the first company to offer on line access to public record data. She created the firm, raised over $8 million from angel investors and venture capital, grew profitable revenues to $25 million, took it public, and then sold the company to Westlaw delivering an attractive return to shareholders. Subsequent to Information America, she joined ChoicePoint as Vice President of Public Records. She has worked with ValuBond, Inc. (sold), eAttorney (sold to Lexis), fabric.com (sold to Amazon), Miavendia.com, LVGRM, and LAWDOCS. She currently does turnaround work with Grisanti Galef and Goldress.

She has received awards including: inclusion on Inc magazine’s 500 List for three years running, and finalist for Inc’s Entrepreneur of the Year. She is a member of the Committee of 200, CEO Netweavers, and the Society of International Business Fellows. She is and has been on several advisory boards for TI:GER program at Georgia Tech and Emory University, Kennesaw University Center for Corporate Governance, the Grove, Northwestern Mutual Shareholders Internet Advisory Board, and the Global Foundation Network.

She received a BA in Math and Economics from Vassar College and an MLS in Library of Science from Columbia University.

Lynn Crump-Caine

Retired Executive Vice President, McDonalds Corp

 

An insightful global executive, Lynn Crump-Caine served as Executive Vice President of Worldwide Operations for McDonald’s Corporation. She directed global operations departments responsible for developing growth strategies, standards, and tools for more than 31,000 McDonald’s restaurants worldwide. Her oversight also included global supply chain, real estate development, construction, training, and global innovation worldwide. During her 30 year tenure, and prior to becoming Executive Vice President of Worldwide Operations, she was Sr. Vice President of U.S. Operations. As a field executive, she was responsible for sales and profits in McDonald’s largest domestic territory. As a seasoned member of McDonald’s senior executive management team, she has been a part of three strategic revitalizations of one of the worlds most recognized brands.

Outsidein Consulting was founded in 2005, with a primary focus on business management and leadership development. As Founder and CEO, Lynn Crump-Caine blends her executive management expertise with her corporate and field experience to produce creative, results-focused solutions. She has led and coached hundreds of managers and executives in the areas of leadership and execution, strategy development, business operations, and communications.

As a business and management leader, Lynn serves on the board of directors for several companies, including Krispy Kreme Donuts, Advocate Healthcare System, and G&K Services. Past directorships included, Women Looking Ahead news magazine based in Atlanta, and the Goodman Theater in Chicago. She is a member of the National Association of Female Executives, NAWBO (National Association of Women Business Owners), and has been recognized as Dollars and Sense Outstanding Business Woman, Illinois Business Women of Influence – Business Ledger, Women Looking Ahead-Woman of the Year, and Outstanding Georgia Citizen.

Lynn resides in Atlanta, Georgia with her husband John B. Caine, II, her daughter Mikelle, and a son, John. She enjoys theater, sports, travel and music.

Gaylen Kemp Baxter

Retired member, Dow Lohnes PLLC 

 

Gaylen Baxter has extensive experience in the healthcare and proprietary online and traditional education fields as well as the legal areas of corporate governance, corporate finance, business and securities law. She is known as a leader on a diverse mix of corporate and not for profit boards implementing effective governance processes resulting in strategic, ethical and efficient conduct of board business. As a lawyer in private practice, Ms. Baxter specialized in mergers and acquisitions, securities law matters and executive and director compensation arrangements.

In 2006, Ms. Baxter joined the Board of St. Joseph’s Hospital of Atlanta, a 410-bed acute care facility in Atlanta, and was named Vice Chair in 2009. She served previously as Chair of St. Joseph’s Mercy Foundation, the fundraising arm of St. Joseph’s.

Until recently, Ms. Baxter chaired the Board of American Intercontinental University (AIU), a proprietary, regionally-accredited institution of higher learning based in Hoffman Estates, Illinois. From 1997-2000, she served on the Board of Edutrek International, Inc., a public company formed to acquire AIU, which was subsequently merged into Career Education Corp., the current owner of AIU.

Ms. Baxter was a partner with Dow, Lohnes PLLC in Atlanta from 1987-1995, responsible for mergers and acquisitions and corporate and financial transactions, and has been a Retired Member since 1995. She represented Cox Communications, Inc., WSB Radio and TV, and the Atlanta Falcons, among others.

Ms. Baxter received her J.D. from Boston University School of Law and her B.A. from the University of Colorado. She has been a member of the State Bar of Georgia since 1979. She lives in Atlanta with her husband, Jeffrey Baxter. They have three adult daughters.

Denise Cutrone

Assurance Partner, PricewaterhouseCoopers LLP



Denise Cutrone is a partner in PwC's Transaction Services Accounting and Financial Reporting practice.

Denise specializes in servicing financial services clients nationwide with capital market transactions such as IPOs, carve-outs, acquisitions and conversions. Denise is fully dedicated to providing clients advisory services in conjunction with the adoption of new accounting standards and conversions to IFRS or US GAAP. She is a conversion and embedding expert who has assisted global companies with IFRS and US GAAP conversions for the past 13 years. Aside from providing technical and conversion advice, her projects have included the redesign of financial reporting in order to enhance standardization and processes.

During her career Denise spent over eight years in Europe. While in Europe, Denise led the development and world-wide roll-out of PwC's TransitionIFRS conversion methodology which has been used on over 1,400 conversions.

Denise has a Bachelor of Science degree in Accountancy from LeMoyne College. She is a member of the American Institute of Certified Public Accountants.
